Terms of Use

1. About these terms

WalletPassFactory provides businesses with tools to create, issue, manage and update digital wallet passes, including passes for Apple Wallet and Google Wallet. These terms apply to use of our public website and, where applicable, authenticated WPF Admin, Merchant and wallet-pass services.

Browsing the public website or sending a Get Started enquiry does not by itself create a commercial account or service agreement. If you use an authenticated service or enter a separate commercial agreement with WalletPassFactory, these terms apply alongside any terms that are expressly agreed for that service.

2. Acceptance and authorised use

By using an authenticated WalletPassFactory service, you agree to use it lawfully, for genuine business purposes, and in line with these terms and any applicable agreement. You must only use services and accounts you are authorised to access.

3. Current service

The current service can support loyalty Stamp Cards and Points Cards, related wallet-pass management, merchant scanning and actions, and pass broadcasts or updates where those features are available. Features can vary by release, merchant setup, wallet platform and device.

4. Gift Cards

Gift Cards are described on the public website as a future product option. They are not currently a live WalletPassFactory data model or payment flow. If Gift Cards become available, the relevant functionality and any additional terms will be introduced with that release.

5. Merchant programmes and payments

WalletPassFactory supplies technology for merchant programmes; it does not currently process or settle the underlying customer payment for a merchant's goods, services or Gift Cards. Merchants remain responsible for taking payment through their own chosen payment method or provider.

Commercial pricing and payment terms for WalletPassFactory, where applicable, will be provided separately or in an applicable service agreement. Public website information is not a promise of future pricing, payment timing, refunds or cancellation terms.

6. Merchant responsibilities

Each merchant is responsible for the programme it operates through WalletPassFactory, including:

• the accuracy and legality of its programme information, rewards, offers and pass content;
• honouring its own stamps, points, rewards, balances and customer-facing offers;
• its customer-facing programme terms and lawful handling of customer personal data;
• having the authority to use its branding, content and pass programme; and
• keeping appropriate control of access to its merchant account and authorised team members.

7. Merchant and pass-holder relationship

A merchant's loyalty programme is generally offered by that merchant to its own customers. WalletPassFactory provides the technology used to operate the pass, but the merchant is ordinarily responsible for redemption, value, rewards and other obligations connected with its programme. WalletPassFactory is not the seller of the merchant's goods or services.

8. Accounts and access

Users of authenticated services must provide accurate account and contact information, keep their authentication credentials or access methods secure, and not share access improperly. The account holder or merchant is responsible for authorised activity carried out through its account. We may restrict access where reasonably necessary to protect security, investigate misuse or protect the service and its users.

9. Prohibited use

Users must not:

• use WalletPassFactory unlawfully or to mislead customers;
• attempt unauthorised access or bypass access controls;
• interfere with service security or operation, upload malicious code, or abuse APIs or automated endpoints;
• issue fraudulent passes, rewards or offers;
• infringe another person's intellectual-property or privacy rights; or
• impersonate another person or business.

10. Wallet providers and service availability

Apple Wallet and Google Wallet are independent third-party platforms. Their rules, APIs, devices, notifications and features can change independently. WalletPassFactory cannot guarantee that every pass will be approved, that notifications will arrive at a particular time, or that every device or wallet-platform feature will behave in the same way.

We aim to provide a reliable service, but do not guarantee uninterrupted or error-free availability. Maintenance, infrastructure issues, third-party outages and platform changes can affect access or functionality.

11. Features and commercial changes

We may improve, modify, add, remove or discontinue features where reasonably necessary as the product develops. If a significant change affects a separate paid commercial arrangement, the applicable service agreement may set out more specific terms.

12. Content and intellectual property

WalletPassFactory owns or licenses its platform software, public website, branding and the content it creates. Merchants retain ownership of their logos, trade marks, images, programme copy and customer-facing content. By providing that content, a merchant gives WalletPassFactory the limited rights reasonably necessary to host, process and display it in operating the service.

13. Personal data and third-party services

Personal data is handled as described in our Privacy Policy and, where relevant, under the arrangements between a merchant and its customers. WalletPassFactory relies on third-party providers, including Supabase, Vercel, Resend, Apple and Google where relevant. Their services are outside our direct control and are not guaranteed to be continuously available.

14. Suspension, termination and data

We may suspend or restrict access where reasonably necessary for security, suspected misuse, legal requirements, a serious breach of these terms, or protection of customers and the service. For account or service issues, contact support@walletpassfactory.com. Future commercial agreements may contain more specific termination or cancellation arrangements.

We do not promise immediate deletion when access ends. Information may be retained as reasonably necessary for legal, security, operational, contractual, backup or recordkeeping purposes, as described in the Privacy Policy.

15. Suitability and responsibility

WalletPassFactory is provided with reasonable care, but users remain responsible for deciding whether it is suitable for their needs. We do not guarantee pass acceptance, wallet delivery, customer engagement, merchant programme outcomes or third-party platform behaviour.

Nothing in these terms excludes liability that cannot lawfully be excluded. WalletPassFactory is not responsible for losses caused solely by third-party wallet or provider outages outside our reasonable control. Merchants remain responsible for their obligations to their own customers.

16. Changes, governing law and contact

We may update these terms as the product, services or legal requirements evolve. The latest version will be published on this page with its updated date. We do not promise individual notice of every change.

The legal operator identity, registered or business address, and final governing-law wording are still being confirmed for WalletPassFactory.
